Terms of Service

These Terms are an agreement between you and New Reign Capital, LLC (“Switch’d”, “we”, “us”), covering your use of switchd.app. By creating an account you agree to them.

1. Who can use Switch’d

You must be at least 18 and legally able to enter a contract. If you are using Switch’d for a company, you confirm you are authorised to act for it, and these Terms bind that company too.

2. Your account

Keep your password to yourself and tell us promptly if you think someone else has it. You are responsible for what happens under your account. Give us accurate information — particularly on a profile, where a false work history wastes a real person’s time.

3. What we are, and what we are not

Switch’d is a place where employers post roles and candidates find them. We are not an employer, not a staffing agency, and not a party to any hire. We do not guarantee that a job exists as described, that an employer will reply, or that anyone will be hired.

We do not verify credentials. Licences, designations and work history are self-reported by candidates and labelled as such. Employers must run their own checks before relying on any of it.

If you represent candidates as an agency, you may record a candidate you are genuinely representing. You confirm you have their permission to do so, and the record stays private to you until that person claims and publishes it themselves.

6. How matching works

Matching scores what a candidate listed against what an employer listed, using a fixed rubric with published weights. It is reproducible, it does not learn from who gets hired, and it never rejects an application — it orders a list a human then reads. Candidates can see why they matched a role. Employers cannot filter on a private score, because no such score is exposed.

7. What costs money

Posting a job is free. Applying to a job is free. Receiving and managing applications is free. Not a trial — free. Candidates never pay for anything.

Paid plans are for employers going out to people who have not applied: outbound approaches beyond the free allowance, extra seats, featured placement, and the submission registry. Plans renew monthly until cancelled. You can cancel any time and keep your plan until the end of the period you have paid for. Fees already paid are not refundable except where the law requires it. Payments are handled by Stripe; we never see your card number.

We will give notice in the product before any price change affects you.

8. Your content

What you write stays yours. You give us permission to store and display it as the product requires — showing your profile to employers according to your visibility setting, and showing a job post to candidates. That permission ends when you delete the content or close your account, except for copies we must keep by law or that an employer retains as a hiring record.

9. Suspension

We can suspend or close an account that breaks these Terms — particularly section 4 or section 5. Where it is safe and lawful to do so, we will tell you why.

10. Disclaimers

Switch’d is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or a hire that did or did not happen. Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow these limits, in which case they apply as far as they can.

12. Indemnity

You will indemnify us against claims arising from your use of Switch’d, your content, or your breach of these Terms — including, for employers, a claim arising from how you used candidate data.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict of laws rules. The state and federal courts located in Orange County, California have exclusive jurisdiction, and you and we consent to venue there.

14. Changes

We may update these Terms. If a change materially affects your rights we will give notice in the product before it takes effect. Continuing to use Switch’d after that means you accept the change.
